Terms of Service
1. What these terms cover
These terms are an agreement between you and PFP Works Inc. ("PFP Works", "we", "us"), an Alberta corporation based in Oyen, Alberta, Canada. They apply to this website (prairieline.ca), the Prairieline platform (app.prairieline.ca and operator storefront domains), FarmApp (farm.prairieline.ca), and any other application we operate that links to these terms (together, the "Services"). By using the Services you agree to these terms and to our Privacy Policy. If you are using the Services on behalf of a business, you confirm that you are authorised to bind it, and "you" means that business.
A business that subscribes to Prairieline (an "Operator") may also have a separate written agreement with us. Where that agreement and these terms differ, the written agreement governs for that Operator.
2. Accounts
You must give accurate information when you create an account and keep it current. You are responsible for what happens under your account and for keeping your credentials and passkeys private. Tell us promptly if you believe your account has been compromised. Accounts created for you by an Operator are controlled by that Operator, which may change or remove them.
3. Acceptable use
You agree not to:
- use the Services to break any law, including cannabis, liquor, tax, privacy, consumer-protection or anti-spam law;
- access or try to access another user's or Operator's data, or any part of the Services you are not authorised to use;
- probe, scan, overload or interfere with the Services or their security;
- upload malicious code, or content that is unlawful, infringing or that you have no right to share;
- resell, sublicense or provide the Services to third parties except as an Operator serving its own customers;
- reverse-engineer the Services except where the law allows it regardless of this term.
4. Operators and regulated retail
Prairieline is a tool. Operators remain fully responsible for holding the licences their business needs, for verifying the age and identity of their customers, for the accuracy of the inventory, sales and compliance records they keep, for the reports they submit to regulators, and for the tax they collect and remit. Prairieline's reporting features help with these duties but do not replace them. Operators are responsible for the conduct of their staff on the platform and for providing their own customers with a privacy policy.
5. Your data
You own the data you and your staff enter into the Services. You grant us a licence to host, process, back up and display that data as needed to provide the Services to you, to meet our legal obligations, and as described in the Privacy Policy. Each Operator's data is kept in its own database. You can export your data while your account is active, and may ask us to delete it when it ends, subject to records we are required by law to retain. We keep backups for up to 90 days.
6. Google-connected features
Some features let you connect your Google account to import from and export to Google Drive and Google Docs. These features are optional. When you connect, you authorise us to access your Google data only as described in section 4 of the Privacy Policy, and you can disconnect at any time. Your use of Google services is also governed by Google's own terms. We are not responsible for Google's availability, for changes Google makes to its services, or for files you choose to share with others through Google.
7. Fees
Fees for Prairieline are set out in the Operator's agreement or order form and are payable in Canadian dollars plus applicable taxes. This website, and FarmApp for the farms we operate it for, are provided without charge unless agreed otherwise. We may change fees with at least 30 days' notice, taking effect at the next renewal.
8. Ownership
The Services, including their software, design, documentation and the Prairieline and PFP Works names and marks, belong to PFP Works or its licensors. These terms give you a limited, non-exclusive, non-transferable right to use the Services while your account is in good standing, and nothing more. Parts of the Services may include open-source components, which are governed by their own licences.
9. Availability and changes
We work to keep the Services available and will give notice of planned maintenance where we can, but we do not promise uninterrupted service. We may add, change or withdraw features. If we withdraw a feature that an Operator relies on, we will give reasonable notice. We may change these terms; the effective date at the top shows when they last changed, and material changes will be notified to account holders before they take effect. Continued use after a change means you accept it.
10. Disclaimer of warranties
The Services are provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement, and we do not warrant that the Services will be error-free or that they will satisfy any regulator's requirements for your business. Some jurisdictions do not allow some of these exclusions, in which case they apply to the extent permitted.
11. Limitation of liability
To the extent the law allows, PFP Works will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from the Services or these terms, however caused. Our total liability for all claims in any 12-month period is limited to the fees you paid us for the Services in that period, or CAD $100 if you paid none. These limits do not apply to liability that cannot be limited by law, or to either party's wilful misconduct.
You agree to indemnify PFP Works against third-party claims arising from your breach of these terms or of the law in your use of the Services.
12. Termination
You may stop using the Services at any time; Operators may end their subscription as their agreement provides. We may suspend or end your access if you breach these terms, if your use creates a security or legal risk, or if we withdraw the Service, with notice where practical. Sections 5, 8, 10, 11 and 13 survive termination.
13. Governing law
These terms are governed by the laws of Alberta and the federal laws of Canada that apply there. The courts of Alberta have exclusive jurisdiction, except that either party may seek an injunction anywhere. If any part of these terms is found unenforceable, the rest remains in effect. These terms, the Privacy Policy and any Operator agreement are the whole agreement between us about the Services.
